Terms of Service

1. Agreement to these Terms

The website and software platform at https://navstak.com (the “Site,” and together with related applications, APIs, and services, the “Services”) are operated by NavStak, Inc., a Delaware corporation (“Company,” “us,” “our,” and “we”). By accessing or using the Services, creating an Account, or purchasing a subscription, you agree to these Terms of Service (these “Terms”) and our Privacy Policy. You must be at least 18 years old. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

Please read Section 18 carefully. It includes an agreement to arbitrate and a class-action and jury-trial waiver, with a 30-day opt-out.

2. The Services

NavStak provides software tools that may include market analysis, signals and data displays, paper (simulated) trading, optional automation (“autopilot”), AI-assisted features, journaling, messaging, and related account tools. Optional features may allow you to connect your own exchange API credentials (“BYOK”) so activity can run against your third-party venue accounts.

Company is not a broker-dealer, futures commission merchant, exchange, clearinghouse, custodian, bank, money transmitter, or investment adviser. We do not guarantee profits, performance, third-party market uptime, or the accuracy of any signal, model, or AI output.

3. Accounts

Certain features require an Account with accurate registration information. You must keep credentials secure (including multi-factor authentication where offered) and notify us promptly of unauthorized use at [email protected]. You are responsible for activity under your Account and for API keys you store with the Services.

4. License to use the Services

Subject to these Terms and your plan, Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own internal purposes (personal or business), including market analysis and trading workflows, solely as permitted by your subscription and these Terms.

You shall not: (a) resell or redistribute the Services as a service bureau except as we expressly allow; (b) reverse engineer the Services except where prohibited by law; (c) access the Services to build a competing product; (d) bypass plan limits or security controls; (e) scrape or overload the platform except as allowed by robots.txt for public search engines; or (f) use the Services for fraud, market manipulation, or other unlawful activity.

5. Paper vs live

Paper trading is simulated and does not place real orders on an exchange. Live features, where offered under a qualifying plan and your configuration, interact with third-party venues using credentials you supply. Paper results are not live results and do not predict future performance.

6. Risk disclosure and AI

Trading futures, perpetuals, and other leveraged products involves a substantial risk of loss and may not be suitable for all users. You may lose capital at third-party venues. AI outputs, ranks, signals, and autopilot behavior are informational tools only and are not personalized investment, legal, or tax advice. You alone decide whether to trade, sizing, and whether to enable automation.

7. Keys, venues, and third parties

Exchanges and data providers are independent. Their fees, liquidations, outages, and APIs are outside our control. You must comply with each venue’s rules. Use trade-only API keys where possible and never grant withdrawal permissions to keys stored with the Services. The Services may link to third-party sites; we do not control them.

8. Subscriptions, billing, and refunds

Paid features are offered under plans described on the Site (for example Standard and Professional). We may accept cryptocurrency (including Solana USDC) and/or third-party processors (such as Stripe). Fees, renewals, and cancellation work as shown at purchase and in Account billing flows.

Where we offer a risk-free window (for example, cancel within three (3) days of a first qualifying payment for a refund of eligible amounts, subject to network or processor fees), the terms shown at purchase control. Returning subscribers or accounts that previously received a refund may be ineligible for promotional or risk-free windows as disclosed on the Site. We may suspend paid features for non-payment or policy violations.

9. User Content

User Content” means content you submit (for example support messages, journal notes, profile information, and feedback). You are responsible for User Content. You grant Company a worldwide, non-exclusive, royalty-free license to host, process, display, and use User Content as needed to operate, secure, improve, and provide the Services (including support).

10. Acceptable use

You agree not to use the Services to distribute content or activity that infringes rights; is unlawful, harassing, or harmful to minors; contains malware; constitutes spam; harvests other users’ data without consent; attacks our systems; or attempts unauthorized access to accounts or data. We may remove content, suspend features, or terminate Accounts and may report unlawful activity.

11. Support

We may provide in-product support (including automated assistance and tickets). Support is provided as available without a guaranteed response time unless we agree in a separate written SLA. We do not promise uninterrupted or error-free operation.

12. Intellectual property and feedback

Except for User Content, Company and its licensors own the Services, including software, models, branding, and documentation. If you provide feedback, you assign all rights in that feedback to Company, and we may use it without restriction.

13. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DATA, SIGNALS, AI OUTPUTS, OR PAPER RESULTS WILL BE ACCURATE OR PROFITABLE.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR TRADING LOSSES, ARISING FROM THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) US $50 OR (B) THE AMOUNTS YOU PAID TO COMPANY FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limits; in those places, our liability is limited to the maximum extent permitted by law.

15. Indemnity

You will indemnify and hold harmless Company and its officers, directors, employees, and agents from claims and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your trading or venue activity, your User Content, your API keys, or your violation of these Terms or law.

16. Suspension and termination

These Terms apply while you use the Services. You may stop using the Services and request Account closure as offered in product flows. We may suspend or terminate access for violations, platform risk, non-payment, legal requirements, or discontinuation of the Services. On termination, your license ends. Survival applies to ownership, disclaimers, liability limits, indemnity, and dispute resolution.

17. Copyright / DMCA

If you believe content on the Services infringes your copyright, send a notice under 17 U.S.C. § 512(c) to our agent with the information required by statute (signature, work identified, material identified, contact information, good-faith statement, and authority under penalty of perjury).

We may remove alleged infringing material and, in appropriate circumstances, terminate repeat infringers.

18. Dispute resolution; arbitration

Before arbitration, contact us in writing to attempt informal resolution (email [email protected]). Except for individual small-claims actions that qualify and remain individual, and claims for equitable relief for IP infringement, any dispute relating to the Services or these Terms will be resolved by binding arbitration administered by JAMS under its applicable rules. The Federal Arbitration Act governs this agreement.

You and Company may bring claims only on an individual basis, not as a class or representative proceeding (except batch procedures for many similar individual demands as administered by JAMS when applicable). You and Company waive the right to a jury trial for disputes subject to arbitration.

You may opt out of arbitration by sending written notice within 30 days after first becoming subject to this arbitration agreement to [email protected], stating your name, mailing address, and that you opt out. If you opt out, the rest of these Terms still apply.

Except where the Federal Arbitration Act applies, these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, unless mandatory consumer protections of your place of residence require otherwise.

19. General

We may modify these Terms; for material changes we may notify you by email and/or posting on the Site. Continued use after the effective date constitutes acceptance where permitted by law. You will not use the Services in violation of U.S. export or sanctions laws. You consent to electronic communications. These Terms plus plan-specific or billing terms presented at purchase are the entire agreement on the Services. You may not assign these Terms without our consent; we may assign them in a merger or sale of assets. If a provision is unenforceable, the remainder remains in effect.
