Terms of Service
1. Agreement to terms
By accessing or using NavStak (the �Service�)�including the boarding site, Mission console, paper trial, Lab tools, APIs exposed by this instance, Ava assistant, and related features�you agree to these Terms of Service (the �Terms�) and our Privacy Policy. If you do not agree, do not use the Service.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and �you� includes that organization.
2. The service
NavStak is software that provides, among other things: market data views, ranking and confluence-style analytics, paper (simulated) trading, optional connection to third-party futures venues via your API keys, optional use of third-party AI providers via your keys, account and vault features, and educational or assistive interfaces (including Ava).
The Service is provided as software tooling. It is not a broker, exchange, bank, custodian, investment adviser, or commodity trading advisor, and it does not take custody of your exchange funds or private keys beyond encrypted storage of credentials you voluntarily save in the vault of this instance.
Features may be experimental, incomplete, or available only in paper mode. The Operator may change, suspend, or discontinue features at any time.
3. Eligibility & accounts
- You must be able to form a binding contract under applicable law (typically 18+ or age of majority).
- You must not use the Service if prohibited by law in your location (including sanctions and local trading restrictions).
- You are responsible for maintaining the confidentiality of your account credentials and for activity under your account.
- You agree to provide accurate registration information and to keep it updated.
- Social profile handles you save are your responsibility; you must only link accounts you own or are authorized to represent.
4. Paper vs live trading
4.1 Paper trial
Paper mode uses a local or instance-hosted simulated book. Balances, fills, fees, and PnL are illustrative and may differ from real markets. Paper results do not predict live performance.
4.2 Live / exchange-connected mode
If you enable live intent and connect exchange API keys, orders may be sent using credentials you provide, subject to the Service�s gates, your exchange rules, and market conditions. You alone control key permissions, IP binding, and funding on the exchange. You are solely responsible for all exchange trades, fees, liquidations, and losses.
You should configure API keys with the minimum permissions required (for example, futures trade without withdraw/transfer) and understand that no software gate is perfect.
5. Not financial advice
Nothing in the Service�including ranks, confluence scores, gates, reports, Ava responses, charts, or autopilot behavior�is investment, trading, tax, or legal advice. You use the Service at your own risk. Futures and crypto markets can result in rapid and total loss of capital.
6. Your keys & third-party services
- Exchange APIs: You supply and control keys. You authorize the Service to use them only as you configure (e.g., paper simulation vs live probes/orders).
- AI / BYOK keys: Optional AI features may call providers you configure (e.g., xAI, OpenAI). Those providers have separate terms; you are responsible for usage and billing.
- Market data: Data may come from exchanges or public feeds and can be delayed, incomplete, or wrong.
- Social platforms: Optional linking of handles or OAuth is subject to those platforms� terms.
7. Acceptable use
You agree not to:
- Violate law, exchange rules, or third-party rights;
- Attempt unauthorized access to the Service, other users� data, or underlying systems;
- Interfere with or disrupt the Service (including abuse of APIs or rate limits);
- Use the Service to launder money, evade sanctions, or commit fraud;
- Reverse engineer except where mandatory law allows;
- Misrepresent affiliation with NavStak or the Operator;
- Upload malware or attempt to extract other users� vault secrets.
The Operator may suspend or terminate access for suspected violations, risk, or security reasons.
8. Intellectual property
The Service�s software, branding, UI, and documentation are owned by the Operator or its licensors. Subject to these Terms, you receive a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal or internal business purposes. You retain ownership of content you submit (profile data, notes, keys you provide), subject to the license needed to operate the Service as described in the Privacy Policy.
9. Disclaimers
THE SERVICE IS PROVIDED �AS IS� AND �AS AVAILABLE.� TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE OPERATOR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANALYTICS OR AUTOPILOT BEHAVIOR WILL BE PROFITABLE OR SUITABLE FOR YOU.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR TRADING LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE�EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR�S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID THE OPERATOR FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (IF ANY); OR (B) ONE HUNDRED U.S. DOLLARS (US $100) (OR EQUIVALENT).
Some jurisdictions do not allow certain limitations; in those cases, liability is limited to the fullest extent permitted.
11. Indemnity
You will defend and indemnify the Operator and its personnel against claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your trading or exchange activity; (c) your API keys or third-party accounts; (d) your content or social handles; or (e) your violation of these Terms or law.
12. Termination
You may stop using the Service at any time. The Operator may suspend or terminate access at any time, with or without notice, including for risk, abuse, or operational reasons. Provisions that by nature should survive (including disclaimers, limitations, indemnity, and IP ownership) survive termination.
13. Changes to the Terms
We may update these Terms by posting a revised version on this page and updating the �Last updated� date. Continued use after the effective date constitutes acceptance. Material changes may also be highlighted in the product when practical.
14. Governing law & disputes
Until a company domicile is designated, these Terms are governed by the laws of the jurisdiction in which the Operator principally resides or operates this instance (excluding conflict-of-law rules), unless mandatory consumer law in your country requires otherwise. Courts in that jurisdiction will have exclusive venue for disputes, except where mandatory law gives you the right to sue in your home courts.
Optional: when a company is formed, the Operator may update this section to name a specific governing law and venue.
